BELL CONNECT TERMS OF USE

Last Updated: August 14, 2026

Bell Flavors & Fragrances. Bell Flavors & Fragrances, Inc., and its global subsidiaries and affiliates (collectively, “Bell”, the “Company”, “we“, “us“, “our“) operates Bell Connect, an invitation-only, business-to-business platform (the “Platform”) that lets authorized users of our customer organizations browse products, request free product samples, and interact with product content, and that lets Company staff share files and content with external recipients through share links. By accessing or using the Platform, you agree to be bound by these Terms of Use (“Terms” or “TOU”).

Our “Services” consist of the Bell Connect Platform and all related websites, mobile applications, features, content, and programs offered or owned by the Company. Please review these Terms carefully before using the Services.

If you do not agree to these Terms of Use, do not access or use the Platform or the Services.

THESE TERMS ARE SUBJECT TO CHANGE BY BELL AT ANY TIME. When we make changes, we will post updated Terms and revise the “Last Updated” date above, and any supplemental terms will be made available within the affected Service. If you do not agree to a change, you must stop using the Services; otherwise, your continued use constitutes acceptance of the change. Please review the Terms periodically.

For information about how we handle personal information, please review our Bell Connect Privacy Policy, which is incorporated into these Terms by reference.

  • Description of the Platform and Services

Bell Connect is intended for authorized business and professional users. Through the sample platform, authorized users can browse products (including products their organization has previously purchased or sampled and products in their flavor catalog), comment on and favorite products, and add products to a cart to request free samples. Product information is drawn from the Company’s internal systems and is organized and access-controlled at the organization level.

Bell Connect also includes a file-sharing feature that allows Company staff to share files, folders, or workspace mini-sites (“Workspaces”) with external recipients through share links. A recipient of a share link can view only the specific content shared with them and cannot otherwise log in to or navigate the Platform. Workspaces may also make available certain limited features, such as subscribing to our newsletter, following a link to our blog, or contacting us; any newsletter or other communication you sign up for are governed by our Privacy Policy, and any linked third-party content is subject to that third party’s terms.

Any new features or Services will also be governed by these Terms unless we state otherwise, and we may modify, add, or remove features or Services at any time. The Platform is not directed to children, and we do not knowingly permit use by, or collect personal information from, children under the age of 13 (or a higher age where required by applicable law). While we are responsible for the content we provide, we are not responsible for third-party, user-generated, or externally linked content.

  • Eligibility, Accounts, and Access

Bell Connect does not offer public sign-up. Accounts are created by the Company for authorized users associated with a customer organization. You may access the Platform only if the Company has issued you access, and only for the organization with which you are associated.

  • How You Access the Platform

You log in using your email address together with a one-time, two-factor verification code sent to you at each visit; the Platform does not use stored usernames or passwords. You agree to keep your access credentials and verification codes confidential, not to share them with or transfer them to anyone else, and not to permit anyone else to access the Platform using your identity. You are responsible for activity that occurs through your access, and you agree to notify us promptly at legalteam@bellff.com if you suspect any unauthorized access or use.

  • Organization-Level Access

Content on the sample platform is siloed by organization, and comments are shared only among users within the same organization. You agree not to attempt to access, and not to attempt to circumvent controls that separate, content or data belonging to any organization other than your own, and not to access any part of the Services you are not authorized to access.

  • Share Links

If you receive a share link, you may access only the content shared with you and only for its intended purpose, which may include using any newsletter sign up, blog, or contact features we make available within a Workspace. You agree not to forward, republish, or otherwise make shared content available beyond its intended recipients, and not to circumvent any access, expiration, or authentication controls associated with a share link. Share links may expire or be revoked at any time.

Sample Requests

The Platform allows authorized users to add products to a cart and submit requests for free product samples. Sample requests are requests only and do not constitute an order, a purchase, a contract of sale, or a binding offer. No payment is collected, and no purchase or transaction occurs through the Platform. All sample requests are subject to acceptance, availability, and fulfillment through the Company’s internal systems, and the Company may accept, decline, condition, or limit any request in its discretion. For shipping purposes, the Company maintains and manages shipping addresses within the Platform. Users may select from available shipping addresses associated with their organization when submitting a sample request. Users may also request expedited shipping and provide UPS or FedEx billing account information for applicable shipping charges. The Company may contact users to obtain additional information necessary for review, approval, shipping, regulatory compliance, or fulfillment. Any shipment of approved samples will be arranged and fulfilled by the Company through its internal systems and processes outside of the Platform.

  • Intellectual Property; License; and Protection of the Services
  • Ownership of the Services

You agree that the Services including all software, data, product information, photographs, images, videos, text, and other content, and all Intellectual Property Rights in them – are owned by us, our suppliers, and/or our licensors, or by persons identified in notices for particular portions of the Services. “Intellectual Property Rights” means all copyrights, patents, trademarks, service marks, trade names, trade dress, trade secrets, rights of publicity and privacy, and all other proprietary rights.

Except as we specifically agree in writing, no element of the Services may be used, processed, or exploited in any way other than as part of the Services made available to you. We retain full ownership of the Services and do not transfer title to any portion of them to you. All rights not expressly granted are reserved.

  • Limited License to Use the Services

Subject to these Terms, we grant authorized users a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the Platform solely for the internal business purposes of the customer organization with which the user is associated, and only while the Services are made available by us. This license does not permit you to: reproduce or distribute the Services; make the Services available to the public; create derivative works; use the Services in other media or distribution channels except as expressly permitted; or operate the Services as a service bureau or reseller. You also may not reverse engineer, decompile, or disassemble any part of the Services; circumvent any security, authentication, or access-control measures; remove any proprietary notices; or use the Services in any unlawful or unauthorized manner or in a way that suggests sponsorship, endorsement, or affiliation that does not exist.

  • User Content

The Platform lets you submit content such as comments and favorites (“User Content”). You retain any rights you have in your User Content. By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use that User Content for the purpose of operating, providing, securing, and improving the Services, including making your comments visible to other users within your organization, as described in our Privacy Policy.

You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms, infringe any third party’s rights, or contain unlawful, confidential (except as intended for the Platform), defamatory, or otherwise objectionable material. We may, but are not obligated to, review, remove, or restrict User Content at any time.

  • Products, Formulas, and Samples.

Nothing in this Agreement shall be construed to convey any right, title or interest to Company’s Confidential Information or Intellectual Property, or any license to sell, exploit, copy or further develop in any way any of the Confidential Information or Intellectual Property. You acknowledge and agree that the Intellectual Property rights to Company’s flavors, flavor delivery systems, fragrances, and associated technologies of the Company’s products shall at all times remain the Company’s property unless otherwise agreed in writing by the Company. For the avoidance of doubt, any formulas, compositions, recipes, specifications, manufacturing processes, know-how, technical information, and related documentation associated with the Company’s products or samples, and all Intellectual Property Rights therein, are and shall remain the exclusive property of the Company. Receipt, possession, or evaluation of any product, sample, material, prototype, or other tangible object provided by the Company does not grant, transfer, or imply any ownership interest, license, or other rights in or to the foregoing Intellectual Property, except for the limited right to evaluate such item for its intended business purpose. You agree not to analyze, not to attempt to analyze, not to have a third party analyze or reverse engineer, disassemble or recompose any products, samples or materials, prototypes, or other tangible objects received from the Company or otherwise seek to determine, derive, reproduce, replicate, or reverse-compound any formula, composition, manufacturing process, or method of production embodied therein, or to release or disclose any of the Company’s Confidential Information, samples, materials or products to any third party without the Company’s written consent , except to the extent any such restriction is prohibited by applicable law.

  • Third-Party Services and Content

The Services are built and hosted for us by our vendor, Catalyst XL, and may integrate or be provided in connection with other third-party services and content that we do not control. Your use of such third-party services and content may be subject to their own terms and privacy policies, which you should review.

  • Mobile Networks and Applications
  • Mobile Networks. If you access the Services through a mobile network, your carrier’s messaging, data, and other rates and fees may apply.
  • Mobile Application. We make certain Services available through our mobile application, Bell Connect (the “App”), which is distributed through the Apple App Store and Google Play. The App allows approved users to review product information and documentation, submit sample requests, and track the status of those requests. Access to the App is restricted to users we have authorized; we may suspend or revoke access at any time in accordance with these Terms.
  • Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on a mobile device that you own or control, solely for your internal business purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to derive the source code of the App, or create derivative works of it, except to the extent applicable law prohibits these restrictions.
  • App Store Terms. Your download and use of the App is also subject to the terms, policies, and usage rules of the app store or distribution platform from which you obtained it, and those terms apply in addition to these Terms. The applicable app store provider is not responsible for the App or its content and has no obligation to provide support or maintenance for it.
  • The App may automatically download and install updates, upgrades, or additional features. You consent to these updates, which are governed by these Terms unless accompanied by separate terms presented to you at the time.
  • Information collected through the App is handled as described in our Privacy Policy.

Prohibited Uses

When using the Services, you agree that you will not:

  • access or attempt to access any part of the Services you are not authorized to access, or use any means to access the Services that you are not authorized to use;

  • reverse engineer, decompile, or disassemble any portion of the Services, or remove any proprietary notice; or
  • violate any applicable law or regulation, or engage in any activity otherwise prohibited by these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE RESERVE THE RIGHT, BUT DISCLAIM ANY OBLIGATION, TO MONITOR THE SERVICES AND YOUR COMPLIANCE WITH THESE TERMS.

  1. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

  • Other Important Legal Terms

The terms in this Privacy Policy and in our Terms of Use have legal importance and may be used by us in a legal proceeding, including to restrict certain claims by you or to limit your rights.

Specifically, in using our Services or accessing the Site you agree:

  • Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM OUR USE OF PERSONAL INFORMATION, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES, AND THE MAXIMUM AMOUNT OF DAMAGES FOR WHICH WE WILL BE LIABLE UNDER THIS AGREEMENT WILL BE THE GREATER OF THE FEES YOU PAID FOR ANY SERVICE IN CONNECTION WITH WHICH YOU PROVIDED YOUR PERSONAL INFORMATION, OR $100. (BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH LAW.) YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DEFAMATORY, THREATENING, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER OF OUR SERVICES.
  • You agree to indemnify and hold harmless us and each of our and their respective board members, directors, officers, managers, employees, shareholders, agents, representatives and licensors, from and against any and all losses, expenses, damages and costs, including reasonable attorneys’ fees, that arise out of your provision of any inaccurate or unauthorized Personal Information to us or your violation of this Agreement or any rights of another. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this section. In such event, you agree to provide us with such cooperation as is reasonably requested by us.
  • Statute of Limitations for All Claims. To the extent permitted by applicable law, and regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one year after the claim or cause of action arose, or be forever barred.
  • Force Majeure. We will be excused from performance to the extent it is prevented, delayed, or obstructed by causes beyond our reasonable control, such as health emergencies (including pandemics), riots, insurrection, fires, floods, explosions, war, governmental action, or natural disasters.
  • Because access to Bell Connect is provided by invitation, the Company may suspend or terminate your access to the Services at any time, for any reason that is not a violation of applicable law, including if you violate these Terms. Provisions that by their nature should survive termination will survive.
  • Class Action Waiver. This is an important section that limits your right to bring a class action against us. You and the Company agree that each party may bring disputes against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding, including any federal or state class action. Nothing in this section limits either party’s right to bring an individual lawsuit. This provision applies to the maximum extent permitted by applicable law to all claims arising under, in connection with, or relating to these Terms, whether arising before or after these Terms took effect and whether or not our relationship with you has ended.
  • International Users. The Platform is controlled and operated by the Company from the United States. Bell Connect is available to authorized users in multiple countries, and users who access the Platform from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws. For information about international data transfers and the rights of users in the United Kingdom and the European Economic Area, please see our Privacy Policy.
  • Applicable Law. These Terms and your use of the Services are governed by the laws of the State of Illinois, to the extent not preempted by federal law, without regard to conflict-of-laws principles, except where a mandatory law of your jurisdiction provides otherwise.

  • Accessibility

We are committed to ensuring all functionality and content is accessible to all our customers.

Our ongoing accessibility work conforms toward the Web Content Accessibility Guidelines (WCAG) version 2.1, level AA criteria. These guidelines not only help make web content accessible to users with sensory, cognitive and mobility disabilities, but ultimately to all users, regardless of ability.

If you experience any difficulty in accessing any part of this website or this Policy you may contact us at legalteam@bellff.com.

  • Changes to These Terms of Use

We may update these Terms from time to time. The “Last Updated” date at the top of this page indicates when they were last revised. If we make material changes, we will provide notice as required by applicable law. Where permitted by law, your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms. Please also consult our Privacy Policy for additional terms that apply to your use of the Services.
